The shares remain under the Company’s Loan Funding agreement as set out in the ESP. The Loan becomes due and payable (unless extended by the Company in its absolute discretion) on the first to occur of the following: a) The Repayment Date (5 years from the date on which the Company advances the Loan to the Participant); b) 90 days after the Participant ceases for any reason to be employed or engaged by the Company; or c) by the legal personal representative of the Participant, six months after the Participant ceases to be an employee or consultant of the Company due to their death.
