Corporations (Externally-Administered Bodies) Instrument 2025/584 (Instrument), which
provides for the deferral of:
• the Company's financial reporting obligations under Part 2M.3 of the Corporations
Act 2001 (Cth) (Act); and
• the requirement under section 250N of the Act for the Company to hold an Annual
General Meeting (AGM).
IMPORTANT: The Company’s 2026 Annual General Meeting, which would
otherwise be required to be held by 30 November 2026, has been deferred and
will not be held by that date.
Annual Report for the financial year ended 30 June 2026
Prior to the appointment of the Administrators, the Company released its Annual Report
for the financial year ended 30 June 2026 (2026 Annual Report) to ASX on 28 August
2026. The 2026 Annual Report remains available on the ASX announcements platform
and on the Company’s website at www.paradigmbiopharma.com.
As the Company’s 2026 AGM has been deferred (see below), the 2026 Annual Report
will be laid before the deferred AGM to be held in accordance with the Instrument.

Under the Instrument, the relief applies for the following period (Deferral Period):
(a) if the external administration of the Company ends on or before 29 March 2027
(being 6 months after the appointment of the Administrators): the period starting
on 29 September 2026 and ending on 29 March 2027; or
(b) if the Company remains under external administration on 30 March 2027: the
period starting on 29 September 2026 and ending on the earliest of:
(i) 29 September 2028 (being 24 months after the appointment of the
Administrators);
(ii) if a deed administrator is appointed following the appointment of the
Administrators - the day (if any) on which a director of the Company has the
right to, or is able to, perform or exercise all or most of the management
powers or functions of a director of the Company under the deed of
company arrangement or with the consent of the deed administrator; and
(iii) the day the external administration of the Company ends.
Deferral of Financial Reporting Obligations
Subject to the conditions in section 8 of the Instrument, the Company does not have to
comply with any of the following requirements of Part 2M.3 of the Act in relation to a
financial year or half-year of the Company, where the requirement would otherwise have
arisen within 24 months after the appointment of the Administrators:
(a) the requirement to prepare a financial report and directors’ report for a financial
year under paragraphs 292(1)(b) and (c) and paragraph 292(2)(b) of the Act;
(b) the requirement to have the financial report for a financial year audited and to

the Act,
(together, the Financial Reporting Obligations). The relief also extends to any
continuing Financial Reporting Obligation in relation to an earlier financial year or half-

of the Administrators.
This includes the Company’s half-year financial report for the half-year ending 31
